CONSTITUTION

ARTICLE I - NAME
The name of this organization shall be the Missoula Music Teachers Association affiliated with Music Teachers National Association, Inc. (“MTNA”), Cincinatti, Ohio, a Code Section 501 © (3) organization.
ARTICLE II – OBJECT
Section 1. Said organization is organized exclusively for charitable, educational, and scientific purposes, including, for such purposes, the making distributions to organizations that qualify as exempt organizations under Section 501 © (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Section 2. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing distribution of statements) any political campaign on behalf of or in opposition to, any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under Section 501 © (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under Section 170 © (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Section 3. In the event of the dissolution of this organization, any funds remaining in the treasury after the payment of any outstanding debts shall be contributed to MTNA.
ARTICLE III - MEMBERSHIP
Section 1. Membership classifications and privileges shall be prescribed in the Bylaws of Missoula Music Teachers Association, hereinafter designated as MMTA or as the Association, and must be consistent with the membership classifications provided in the Bylaws of MTNA.
Section 2. Membership dues shall be approved by the board of Directors and approved by the membership of MMTA.
Section 3. Membership in the Association may be terminated by the member or revoked by the Association as prescribed in the Missoula Music Teachers Association Bylaws.
Section 4. All members of this Association eligible for Active or Student membership in MTNA must hold membership in MTNA.
ARTICLE IV – OFFICERS
Officers of the Association shall be a President, President-Elect, Vice President, Secretary, Treasurer, and Immediate Past President. The manner of election and the duties of each officer shall be defined in the Bylaws. (More than one Vice President may be named.)
ARTICLE V – BOARD OF DIRECTORS
Section 1. The Board of Directors shall be composed of President, President-Elect, Vice President, Secretary, Treasurer, and Immediate Past President and shall determine policies of the Association by actively pursuing the purposes of the Association within the limits of the Constitution and Bylaws. It shall have discretion in the disbursement of all funds of the Association. (Additional Board members may be provided for.)
Section 2. In order to transact business, a quorum consisting of two-thirds of the voting members of the Board of Directors, at least one of them being the President or President-Elect, must be present.
ARTICLE VI – MEETINGS
Section 1. Meetings of the Association shall be held at such time and place as are decided upon by the Board of Directors of the Association, but they shall be guided by the wishes of the membership.
Section 2. Two-thirds of the Active members present constitute a quorum of the Association for the transaction of business.
ARTICLE VII – AMENDMENTS
Section 1. This Constitution may be amended at any business meeting of the Association by a two-thirds vote of the Active Members present and voting, the proposed amendment having been submitted in writing to the members at least thirty (30) days prior to the voting.
Section 2. All amendments must be consistent with Article II of this Constitution and a copy of same must be reported to the Executive Director of MTNA before approval.

ARTICLE I – DUTIES OF OFFICERS
Section 1. It shall be the duty of the President to preside at all meetings of the association and to serve as ex-officio member of all committees.
Section 2. The President-Elect shall assist the President and preside at all meetings in the President’s absence.
Section 3. The First Vice President shall have previously served as President of the Association and oversee all committee chairs and all committee functions.
Section 4. The Second Vice President shall have previously served as President of the Association and function in an advisory capacity.
Section 5. The Secretary shall keep accurate minutes of all meetings of the Association and the Board of Directors and be responsible for all correspondence.
Section 6. The Treasurer shall receive all fees, dues or contributions and shall be responsible for all funds; and shall make financial reports to the Association whenever required; and shall make all disbursements of said funds as authorized by the Board of Directors of the Association. The Treasurer shall present an annual budget prepared with the Board of Directors at the April business meeting.
ARTICLE II – EXECUTIVE POWER
Section 1. All executive power shall be vested in the Board of Directors, which shall have general supervision of the affairs of the Association and shall cause the laws and regulations of the Association to be respected and faithfully administered.
ARTICLE III – MEMBERSHIP CLASSIFICATIONS AND PRIVILEGES
Section 1. Active members of MMTA must also be members of MSMTA and MTNA. Active members shall be the voting members of the Association.
Section 2. Courtesy members of MMTA must be Public School Music Teachers who wish to be affiliated with MMTA for the purpose of having their private students involved in MMTA sponsored recitals, festivals and other performance opportunities. As Courtesy members, no additional non-member fees will be charged for their participation in these events. Courtesy members shall not have voting privileges, be included in the MMTA Active Membership Missoulian ad or be included in the MMTA Member Handbook.
Section 3. Student members on MMTA shall be eligible for Student membership and must hold membership in MTNA.
ARTICLE IV – STANDING COMMITTEES
Section 1. The Call Committee shall contact membership prior to meetings with meeting details and shall make any additional calls requested by the President.

Section 3. An Historian shall be appointed by the Board of Directors.
Section 4. The Hospitality Committee shall make provisions for refreshments at meetings and other events hosted by the Association.
Section 5. The Membership Committee shall actively seek and encourage new Active and Student members and assist them with the membership application process through MTNA. The committee shall also review written applications for Courtesy Members in MMTA and make recommendations to the Association.
Section 6. The Nominating Committee shall meet in February to select a slate of officers and present the slate at the April meeting.

Section 8. The Publicity Committee shall secure adequate coverage by the press for all publicity required by the Association.

Section 10. The Scholarship/Auditions Committee shall be responsible for the conduct of all auditions.

Section 12. The Sunshine Committee shall recognize members by various means (flowers, cards, etc.) at significant times in their lives.
ARTICLE V – DUES
Section 1. Active and Student member dues shall be specified by vote of the membership annually. All active and student members are affiliated with MTNA and MSMTA. They shall receive notice of National, State, and Local Dues from MTNA each spring with a payment deadline of July 1. Any member whose dues have not been paid by July 1 will not be included in the annual Member Handbook or in the Missoulian membership ad.
Section 2. Courtesy member dues shall be specified by vote of the membership annually. Courtesy members shall pay local dues with a payment deadline of July 1. Their dues shall be payable to MTNA. Local dues for Courtesy members shall be higher than for Active Members.
ARTICLE VI – VACANCIES
Section 1. Any vacancy occurring in any office shall be filled by appointment by the Board of Directors. The appointed officer shall hold office until the next regular election.
